Terms of Service Agreement

1. Acceptance of Terms

By accessing or using Thalamus AI services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Thalamus AI provides AI-powered tools and services for business optimization, including but not limited to Adaptive Search Optimization (ASO), AI governance, and workflow automation.

3. Account Registration

To use certain features of our services, you must register for an account. You agree to provide accurate information and keep it updated. You are responsible for maintaining the security of your account credentials.

4. Payment Terms

Some of our services require payment. You agree to pay all fees associated with your subscription plan. All payments are processed securely through Stripe. You can cancel your subscription at any time.

5. 15% Lift Guarantee

Our ASO services come with a 15% lift guarantee. If you don't see at least a 15% improvement in your Vector Visibility Score within 6 months, you may be eligible for a refund. See our Guarantee page for full details.

6. Data Ownership

You retain ownership of all data you input into our services. We claim no ownership rights over your content. You can export your data at any time.

7. Intellectual Property Rights

Thalamus AI and its licensors own all intellectual property rights in our services, including but not limited to:

  • Software, algorithms, and underlying technology
  • Trademarks, logos, and brand assets including SYNAPTICA™ and SOPHIA™
  • Documentation, training materials, and content
  • User interface designs and visual elements

You may not copy, modify, distribute, sell, or lease any part of our services without our prior written consent. You retain all rights to your data and content that you input into our services.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Attempting to access, tamper with, or use non-public areas of our systems
  • Transmitting viruses, malware, or other harmful code
  • Using our services for illegal, harmful, or fraudulent purposes
  • Scraping, data mining, or harvesting information without consent
  • Interfering with or disrupting our services or servers
  • Impersonating another person or misrepresenting your affiliation
  • Violating any applicable laws or regulations

Violation of these prohibitions may result in immediate termination of your account and potential legal action.

9. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination:

  • Your access to services will be immediately revoked
  • We will retain your data for up to 30 days in case you wish to reactivate
  • After 30 days, your data will be permanently deleted (except as required by law)
  • Any outstanding payment obligations remain due

We reserve the right to suspend or terminate your account if you violate these Terms or engage in activities that harm our services or other users.

10. Limitation of Liability

To the maximum extent permitted by law, Thalamus AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of (or inability to access or use) our services
  • Any conduct or content of any third party on our services
  • Unauthorized access, use, or alteration of your transmissions or content
  • Statements or conduct of any AI system or automated feature

Our total liability to you for all claims arising from or relating to these Terms or our services shall not exceed the amount you paid us for the services in the 12 months preceding the claim.

11. Changes to Terms

We may modify these Terms from time to time. When we make material changes:

  • We will update the "Last updated" date at the top of this page
  • We will notify active users via email at least 30 days before changes take effect
  • Continued use of our services after changes constitutes acceptance

If you do not agree to the modified Terms, you must stop using our services.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or our services shall be resolved through:

  • Informal resolution: We encourage you to contact us first to seek an informal resolution
  • Binding arbitration: If informal resolution fails, disputes will be resolved through binding arbitration in Delaware
  • Class action waiver: You agree to resolve disputes on an individual basis and waive any right to class actions
